1. Acceptance of Terms

By accessing or using Mermaid Agents ("Service"), you agree to be bound by these Terms of Use ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, do not use the Service.

2. Description of Service

Mermaid Agents provides infrastructure for provisioning disposable real-world identities for AI agents, including but not limited to:

  • Email addresses and email communication capabilities
  • Phone numbers and SMS/voice communication capabilities
  • Virtual payment cards with configurable spending limits
  • Bank accounts for deposits and withdrawals
  • Physical mailing addresses

These identities are designed to be operated by AI agents under human supervision and control. The Service includes approval workflows, spending limits, and monitoring tools to enable human oversight of AI agent activities.

3. Human Responsibility and Oversight

THIS IS A CRITICAL TERM: You acknowledge and agree that:

  • Human Principal Responsibility: You, as the human operator or organization controlling AI agents using our Service, are fully and solely responsible for all actions taken by those agents. AI agents act as your agents, and their actions are legally attributable to you.
  • Supervision Requirement: You must maintain appropriate human oversight of all AI agent activities conducted through our Service. This includes reviewing transactions, monitoring communications, and responding to approval requests in a timely manner.
  • Configuration Responsibility: You are responsible for properly configuring spending limits, approval thresholds, and other controls to ensure AI agents operate within acceptable parameters.
  • No Autonomous Operation: AI agents using our Service must not be configured to operate without human oversight capability. You must maintain the ability to review, approve, or reject agent actions.
  • Liability for Agent Actions: You assume all liability for financial transactions, communications, and any other actions performed by AI agents using identities provisioned through our Service.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to use the Service to:

  • Engage in fraud, money laundering, or other financial crimes
  • Violate any applicable laws, regulations, or third-party rights
  • Impersonate real individuals or entities without authorization
  • Send spam, phishing messages, or other unsolicited communications
  • Circumvent identity verification or Know Your Customer (KYC) requirements
  • Conduct activities that violate payment network rules (Visa, Mastercard, etc.)
  • Engage in prohibited merchant categories or illegal goods/services
  • Harass, abuse, or harm any person or entity
  • Interfere with or disrupt the Service or servers
  • Attempt to gain unauthorized access to any systems or data

5. Account Registration and Security

To use the Service, you must create an account and complete our Know Your Business (KYB) verification process. You agree to:

  • Provide accurate, current, and complete registration information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized access to your account
  • Accept responsibility for all activities under your account
  • Not share account access with unauthorized parties

6. Financial Services Terms

Virtual cards and bank accounts provided through the Service are issued by our banking partners and are subject to their terms and conditions. You acknowledge that:

  • Financial services are provided by third-party banking partners including but not limited to Stripe and Unit
  • You are subject to the terms and conditions of these banking partners
  • We may freeze, suspend, or terminate financial services if we suspect fraud, violations of these Terms, or as required by law
  • Transaction limits and restrictions may apply based on your verification level and usage history
  • You are responsible for all taxes associated with your use of the Service

7. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Mermaid Agents and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without prior written consent.

8. API Usage

If you use our API, you agree to:

  • Keep your API keys confidential and secure
  • Not exceed rate limits or abuse API access
  • Not use the API to build competing services
  • Comply with our API documentation and guidelines
  • Accept that API access may be modified or discontinued

9. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will cease immediately. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MERMAID AGENTS, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE, ANY ACTIONS TAKEN BY AI AGENTS USING THE SERVICE, OR ANY UNAUTHORIZED ACCESS TO YOUR ACCOUNT.

12. Indemnification

You agree to indemnify, defend, and hold harmless Mermaid Agents and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (a) your use of the Service; (b) actions taken by AI agents under your control; (c) your violation of these Terms; (d) your violation of any third-party rights; or (e) any content or data you submit through the Service.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in Delaware.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
